REQUIREMENTS
1/ Collect and analyze one or more typical information (online, newspapers and other media)
reflecting issues related to conflicts of interest between shareholders and management (agency
problem) of assigned companies.
2/ Collect and analyze one or more typical information (online, newspapers and other media)
related to the relationship between Vietnamese financial markets and corporate financial
management of assigned companies.
3/ Analyze typical information from financial statements (financial ratios and other
information from balance sheet, income statement and statement of cashflows) showing the
implementation of the goal of corporate finance over time with two aspects: profitability and
risk.
The requirement 1 is a common work for all members of a group. Select at least one of the
group’s assigned companies to implement this common work (more selected companies mean
more marks). Requirements 2 and 3 are individual works for each member.
Presentation includes three parts:
- Part 1: The group representative presents the common work (requirement 1)
- Part 2: Random draw for the presentation of individual works (requirements 2 and 3)
- Part 3: Questions are posed to each group member
Groups will begin presentations on October 4th. Volunteer groups to present on that date will
receive bonus marks. If no group is volunteer to present on that date, all groups will be
penalized.
After presentation and feedback, groups will complete their reports to be submitted via email
Each group leader is responsible for marking the contribution of each member and sending
marks with the group’s report.

TASK 1:
- Mỗi bạn tự search case về agency problem của công ty mình (VD: search mã công ty + "vi
phạm"/"mâu thuẫn"...). Cái này tương đối khó tìm đấy, mọi người chịu khó search và đọc kĩ.
Ví dụ nhóm Oanh có đến 3,4 công ty làm thực phẩm nên có lợi thế hơn, nhóm mình toàn công
ty điện nước nguyên vật liệu các thứ thôi T_T
- Search xong thì tóm tắt case lại và phân tích bên dưới. Tớ cũng chưa rõ lắm phải phân tích
thế nào mới là đủ, nhưng ít nhất phải chỉ ra được hành động của thằng manager nó gây hại
đến cổ đông như thế nào. (chung chung phết nhỉ :">)
- Trong tuần sau gửi case vào mail tớ để tớ tổng hợp.
TASK 2
- Đây là phần tớ thấy mơ hồ nhất. Nói chung các nhóm trước đều tập trung vào giai đoạn
khủng hoảng 2007 - 2008, khi ấy doanh thu giảm, tình hình thanh khoản thấp, nguy cơ bị xù
nợ cao v.v... Nhiệm vụ của mình là phân tích xem các managers đã làm gì để đối phó với mấy
cái của nợ đấy.
- Cái này các bạn đọc Thuyết minh báo cáo tài chính của công ty, phần Income Statement và
Balance Sheet ấy, có thể có nhiều thông tin hữu ích ;))
TASK 3
- Phần này phân tích Risk và Profitability, tức là liên quan đến financial ratios. Các bạn trước
hết search và phân loại cho tớ: các ratios nào có thể dùng để đo rủi ro và khả năng sinh lời, ý
nghĩa cụ thể của từng thằng, v.v...
- Vào vinacorp search các ratios các bạn tìm được bên trên và phân tích thử cho tớ. Phần này
dễ làm hơn và thuộc nhiệm vụ cá nhân, nhưng vẫn phải cho vào assignment nhóm để tổng
hợp, và nói chung là 1 thằng thuyết trình thì thầy cũng nhìn vào đấy cho điểm cả nhóm thôi :))

Tóm lại, trong tuần sau các bạn gửi cho tớ task 1 và task 3, deadline là 6h chiều thứ 7,

1. Mỗi bạn search cho tớ các case về agency problem, cụ thể:
- Các bạn có thể search tên/mã công ty + "vi phạm"/"xung đột"/"mâu thuẫn lợi ích".
Agency problem là vấn đề mâu thuẫn lợi ích giữa managers (thường là cổ đông nội bộ) và cổ
đông nói chung.
- Lỗi phổ biến nhất mà tớ tìm thấy là lỗi "Không công bố thông tin", công ty nào cũng có
đấy. Tuy nhiên đây là 1 lỗi rất vớ vẩn, kiểu không còn gì hay ho thì hãy cho vào í :( Mọi
người chú ý tìm các case cụ thể và hoành tráng hơn tí nhá :X Ví dụ bên nhóm Oanh có cái

2. Mỗi bạn search cho tớ 1 bộ sậu các thứ sau:
- Balance sheet, income statement, cash flow statement của công ty
- Các financial ratios. Ít nhất phải có liquidity ratio, profit margin, ROA, ROE, D/E, D/A,
leverage ratio, P/E, P/B...Ngoài ra còn rất nhiều thông số khác mà tớ chả biết đâu, túm lại có
gì mọi người cứ vơ hết về cho tớ, lọc liếc tính sau :">

1. Ngày 02 tháng 12 năm 2010, Công ty CP ALPHANAM đã gửi công văn lên Ủy Ban
Chứng khoán Nhà nước và Sở giao dịch chứng khoán Thành phố Hồ Chí Minh để báo cáo kết
quả chào bán cổ phiếu riêng lẻ cho cổ đông chiến lược – GEM Global Yield Fund (Mỹ).
Công ty Cổ phần Alphanam đã ký ththa thuâ ̣n (Term sheet) về viê ̣c Quỹ GEM Global Yield
Fund – Mỹ - sẽ đầu tư vào Alphanam với tổng số vốn khoảng 30 triê ̣u USD để trở thành cổ
đông chiến lược. Thời gian cam kết giải ngân số tiền đầu tư nêu trên là trong 3 năm.
Quỹ GEM Global Yield Fund là tổ chức chuyên đầu tư vào các thị trường mới nổi trên thế
giới và đây là lần đầu tiên họ đầu tư vào thị trường Viê ̣t Nam. Trong quá trình đầu tư GEM
Global Yield Fund nhâ ̣n thấy rằng các thủ tục tại Viê ̣t Nam cũng như luâ ̣t định có khác biê ̣t so
với các thị trường mà GEM Global Yield Fund đã đầu tư. Tuy nhiên đến nay, GEM Global
Yield Fund đã hoàn thành viê ̣c mở tài khoản tại HSBC Viê ̣t Nam và tài khoản giao dịch
chứng khoán tại Công ty chứng khoán Hồ Chí Minh (HSC).
2. Kể từ ngày được chấp thuâ ̣n phát hành đến nay thì thị trường chứng khoán Viê ̣t Nam diễn
ra không thuâ ̣n lợi, nhiều cổ phiếu liên tục mất giá bất chấp viê ̣c kết quả hoạt đô ̣ng SXKD
như thế nào. Cổ phiếu ALP của công ty CP Alphanam cũng chung xu hướng của thị trường.
Chính vì vâ ̣y HĐQT công ty nhâ ̣n thấy rằng nếu phát hành cho cổ đông chiến lược thời gian
này thì sẽ không có lợi cho Cổ đông hiê ̣n hữu cũng như cho Công ty vì giá cổ phiếu hiê ̣n tại
đã xuống quá thấp so với giá trị thâ ̣t của Công ty. HĐQT công ty đã quyết định chỉ phát hành
cho Cổ đông chiến lược với mức giá 20.000 đồng/cổ phiếu.
Với nô ̣i dung như trên, HĐQT Công ty đã báo cáo Quý Ủy ban và Quý Sở xem xét 1 trong 2
phương án đợt chào bán cổ phần riêng lẻ cho cổ đông chiến lược như:
+ Chào bán cổ phần riêng lẻ cho cổ đông chiến lược không thành công do giá cổ phiếu xuống
thấp hơn so với giá mong muốn phát hành của HĐQT.
+ Gia hạn thời gian của đợt phát hành chào bán cổ phần riêng lẻ cho cổ đông chiến lược này
cho đến hết 31/5/2011. Trong thời gian này, Công ty sẽ chào bán cho cổ đông chiến lược nếu
như giá chào bán đạt 20.000 đồng/cổ phiếu. Nếu sau thời hạn trên mà giá chào bán vẫn thấp
hơn 20.000 đồng/cổ phiếu thì công ty sẽ báo cáo kết quả chào bán không thành công tới Quý
Ủy ban và Quý Sở.
3. Đối tượng chào bán trái phiếu dự kiến là Ngân hang TMCP Quân Đội (MB).

Công Ty Cổ Phần Alphanam (ALP) công bố Quyết định của Đại hội Đồng cổ đông. ĐHCĐ
của ALP thông qua việc phát hành 2 triệu trái phiếu không chuyển đổi mệnh giá 100.000
đồng/trái phiếu chào bán riêng lẻ. Tổng mệnh giá trái phiếu phát hành là 200 tỷ đồng. Trái
phiếu có lãi suất 15%/năm. Lãi suất trái phiếu thanh toán 6 tháng một lần.
Trái phiếu có kỳ hạn 3 năm kể từ ngày phát hành. Đối tượng chào bán trái phiếu dự kiến là

+ Thousands of transactions on Vietnam financial market each day => a huge workload for

+ Recently, the maximum punishment level for not disclosing information is just 70 - 80
millions of VND => too small compared to the profit earned
+ The SEM does not impose fines on violators immediately => cannot deter businesses
Ex: In July 2010, Ninh Hoa Sugar JSC (NHS) did not submit the semi-annual reports about
capital usage, but it was not until August 2011 that the Securities Committee decided to

Ngày 16/12/2010, Chủ tịch Uỷ ban Chứng khoán Nhà nước ban hành Quyết định xử phạt vi
phạm hành chính đối với bà Nguyễn Thị Thanh Vân và bà Nguyễn Thị Tuyết.
Ngày 28/7/2010, bà Nguyễn Thị Thanh Vân là người có liên quan (chị) với ông Nguyễn
Quang Huy, thành viên HĐQT CTCP Alphanam (ALP) đã thực hiện bán 53.180 cổ phiếu
ALP nhưng không báo cáo UBCKNN, Sở GDCK Tp. Hồ Chí Minh theo quy định.
Xét tính chất và mức độ vi phạm, UBCKNN xử phạt vi phạm hành chính đối với bà Nguyễn
Thị Thanh Vân, bà Nguyễn Thị Tuyết như sau: Phạt tiền 20.000.000 đồng theo quy định về xử
phạt vi phạm hành chính trong lĩnh vực chứng khoán và thị trường chứng khoán.
Tất cả thông tin liên quan đến công ty niêm yết đều có thể gây ảnh hưởng đến giá chứng
khoán (CK), trong đó có thông tin mua hay bán CK của các VIP. Đây là những người đầu
tiên nắm được các thông tin quan trọng liên quan đến hoạt động và kết quả kinh doanh của
đơn vị. Nhiều cổ đông lớn thực hiện giao dịch nhưng không báo cáo đã ít nhiều ảnh hưởng
đến lòng tin của các nhà đầu tư (NĐT).
Một chuyên gia chứng khoán phân tích, khi các VIP mua hay bán với số lượng hàng chục
ngàn CP sẽ có ảnh hưởng nhất định đến thị trường. Họ mua “âm thầm” giá sẽ không tăng
bằng công bố rộng rãi, họ bán “bí mật” giá cũng không xuống ào ạt, do đó các NĐT mua ở
thời điểm này có thể bị thiệt hại.
One type of Agency Problem is selling and buying shares for a person’s own interest,
maximizing his/her personal utility, having personal goals that contradict with the ones of
others members in the company including managers, board of directors and shareholders.
On July 28, 2010, Mrs. Nguyen Thi Thanh Van, a relative (sister) of Mr. Nguyen Quang Huy,
a member of the Board of Directors of Alphanam JSC sold 53,180 ALP shares but did not
report to the State Securities Committee and the Stock Exchange Service in Ho Chi Minh
City. As a result, the Chairman of the State Securities Committee charged an administrative
penalty for Mrs. Nguyen Thi Thanh Van.
The behaviour of Mrs. Van could have caused negative effects on the stock market. Mrs. Van
may be regarded as one of the first people who are informed of the business performance of
the company. Therefore, the transaction of Mrs. Van could have lowered the price of ALP if
its information were reported to the SSC as the trading volume was remarkable. Eventually,
this would cause damages to investors and do harm to the corporation’s trustworthiness.
In my opinion, this case has nothing to do with agency problems, thus the final judgement
is up to you :(

Quay trở lại với câu chuyện của Alphanam năm 2010, thương vụ phát hành cho đối tác
chiến lược GEM và trái phiếu không chuyển đổi lợi tức 15% cho MB (NH Quân đội) đều
có vẻ khá trục trặc, ông có thể nói rõ hơn?
GEM là trường hợp đáng tiếc khi cả hai bên đã đi đến thống nhất được rất nhiều việc, nhưng
khâu thủ tục hành chính tại Việt Nam đã làm cho đối tác Mỹ rất bức xúc. Phía đối tác GEM
của Mỹ phải mất 6 tháng mới có thể mở được tài khoản tại Việt Nam sau khi đã qua rất nhiều
thủ tục. Và trong khoảng thời gian lập tài khoản đó, diễn biến thị trường đã có nhiều thay
đổi, khi đó giá mua của GEM là giá 90% giá thị trường. Với 90% giá thị trường bây giờ thì
HĐQT của Công ty không muốn bán cho GEM với mức giá đó nữa.
Về phía GEM thì họ đã ký một hợp đồng tổng thể 3 năm, trong bất kỳ thời điểm nào mà mình
muốn bán thì chỉ cấn phát hành thư. Gói hợp đồng đó có giá trị 579 tỷ đồng (tương đương 30
triệu USD) trong vòng 3 năm.
Thương vụ này không phải là chấm dứt hẳn mà chỉ tạm thời dừng lại do giá cổ phiếu rẻ, nên
chúng tôi chưa quyết định bán trong thời điểm này.
Công ty cổ phần Alphanam dự định phát hành 200 tỉ đồng trái phiếu không chuyển đổi lợi tức
cho MB. Trái phiếu kỳ hạn 3 năm với lãi suất 15%/năm. Mệnh giá trái phiếu 100 nghìn
đồng/trái phiếu. Giá bán bằng mệnh giá. Mục đích phát hành bổ sung vốn lưu động, cấu trúc
lại nguồn vốn, cân đối lại nợ/nguồn vốn chủ sở hữu, tăng cường năng lực hoạt động kinh
doanh của công ty.
Câu chuyện này lại cũng bắt nguồn từ nguyên nhân thủ tục chính sách. Lúc mà làm thủ tục
thì MB đồng ý mức 15%. Nhưng qua các lần đại hội, các thủ tục cần xin thì lại mất 3-4 tháng
Tại thời điểm đó lãi suất 12-13% thì 15% có thể chấp nhận được. Tuy nhiên, đến thời điểm
hiện nay lãi suất là 19-20% là quá cao cho nên vụ phát hành đã không thành công.
Hiện nay, cả Alphanam và MB đang có những bước tiến quan trọng trong đàm phán lại lãi
suất. Có thể thời điểm ra Tết Nguyên đán thì sẽ phát hành lại.
Năm 2010, Alphanam đã thực hiện 1 thương vụ M&A khá "lặng lẽ" với Công ty viễn
thông Thăng long (TLC), ông đánh giá thương vụ này thế nào? và nhận xét của ông về xu
hướng này trên thị trường trong thời gian tới?
Về TLC, nói thật đây là 1 sai lầm trong lĩnh vực đầu tư tài chính của tôi trong năm nay.
Chúng tôi đã đánh giá sai về TLC, hiện nay công ty này không còn gì đáng giá. Lỗ luỹ kế lên
đến 100 tỷ, dây chuyền máy móc lạc hậu không đáng giá, đất cát thì đi thuê và giấy tờ pháp
lý vẫn chưa hoàn thiện. Có thể nói là chúng tôi sẽ phải vực lại DN này từ con số âm.
Tuy nhiên, cái còn lại của TLC là có sự thuận lợi về ngành nghề mà chúng tôi có thế mạnh
như cáp, sản xuất điện,…
Chúng tôi phải thay máu cho doanh nghiệp này, thay đổi lại nhân sự chủ chốt , đẩy doanh
nghiệp hoạt động lành mạnh hơn, minh bạch hơn. Sau khoảng 3 năm thì TLC mới có thể hoạt
động kinh doanh có hiệu quả lại được. Nhưng tôi tin là chỉ 3 năm TLC sẽ trở thành 1 công ty
tốt.
Làn sóng M&A trên thị trường trong thời gian tới sẽ hết sức hấp dẫn. Thị trường chứng
khoán chính niềm tin và sự sợ hãi, niềm tin của người này thì cũng là sợ hãi của người khác
và ngược lại.
Khi niềm tin đầu tư lướt sóng trên thị trường chứng khoán không còn hấp dẫn, không thu lại
được lợi ích gì như mong muốn. Người ta sẽ chú trọng đến việc đầu tư giá trị hơn. Lúc đó,
M&A, thôn tính, sáp nhập sẽ diễn ra mạnh mẽ. Tuy nhiên, sẽ xảy ra hai loại sáp nhập và thôn
tính.
Now I will move to the second part of my presentation: the relationship between Vietnamese
financial markets and the corporate financial management of Alphanam JSC.
Let’s consider two examples:
1. At the beginning of 2010, Alphanam JSC and Global Emerging Markets Fund (GEM) has
signed a term sheet in which GEM committed to invest 30 million in Alphanam in shares,
with the purchasing price at 90% of market price.

However, it’s a pity that after both parties had agreed on a lot of terms; the six-month
administrative procedures in Vietnam made GEM very frustrated. And during that period, the
financial market saw a lot of changes, and at that time The Board of Directors of the
Company did not want to sell their shares at that price, which is 90% of market price,
anymore. Fortunately, GEM had signed a 3-year contract overall, which worth 30 m USD. So
the deal was temporarily put off due to low stock price.
2. In October 2010, Alphanam intended to issue 200-bil. worth in bonds for MB purchase.
The bonds had 3-year maturity, an interest rate of 15% / year, and face value of 100 thousand
VND/bond. Price is equal to face value. (Purpose of issuance of additional working capital,
capital structure to balance the debt / equity sources, strengthening business operations of the
company.)
The problem also came partly from administrative procedures. At first, Alphanam and MB
agreed on 15% interest rate of the bond, because the market i.r. was only 12 -13%. But after
spending 3-4 months on administrative procedures, the market i.r. reached 19 -20%, which is
so high that the bond offering failed.

1. Liquidity ratio
The most important ratio of financial analysis is liquidity ratio. In this case, as you can see,
liquidity ratio includes 2 kinds of ratio: current ratio and quick ratio. As the name suggest, the
ratio provide information about the short term solvency. The primary concern is the firm’s
ability to pay its bills over the short run without undue stress. For obvious reasons, liquidity
ratios are particularly interesting to short term creditors. Because financial managers are
constantly working with banks and other short term lenders, an understanding of these ratios
is essential.
As you can see from the screen, the liquidity ratios of VTO are too low compared to the
industry ratio. This can explain that VTO will meet much difficulty to pay short term debt
without stress. Furthermore, all indexes are smaller than 1, meaning that if the creditors
demand the payment for debt, Vitaco are not able to cover this sum of capital.
2. Asset management ratio
The measures are sometimes called asset utilization ratios. The specific ratios interpreted as
measures of turnover. What they are intended to describe is how efficiently or intensively a
firm uses its assets to generate sales.
In this example, the inventory turnover ratio in 2008 was 10.76. This indicates that Vitaco
sold off or turned over the entire inventory 3.2 times. Throughout the period, there was an
improvement of asset management ratios, the following year index is mostly larger than the

previous one. Vitaco has tried their best to use their asset efficiently. However, as we look at
the total asset turnover of Vitaco and the whole transporting industry, it can be stated that
Vitaco have not managed their asset to generate sales efficiently compared to other rival
companies. The balance sheet and income statements showed us that for every VND’s worth
of asset, it only generated a small amount of sales revenue.
3. Financial leverage
In corporate finance’s view of point, the financial leverage is the long term solvency ratios are
intended to address the firm’s long run ability to meet its obligations, includes 4 specific
indexes: debt ratio ( total liabilities/ total assets), long term debt to total capitalization, and
times interest earned (EBIT/ annual interest expenses) and equity multiplier. Focusing on the
debt ratio, except for 2010, debt ratios of VTO are relatively unhealthy. However, there are
two opposite opinions of these ratios. In term of creditors, they prefer low debt ratio, which
could recover the debt quickly. On the other hand, the shareholder require a higher debt ratio,
this can be easily explained by the improvement of financial leverage and profitability to
them.
4. Profitability ratio
They are intended to measure how efficiently the firm uses its assets and how efficiently the
firm manages its operations.
On the screen, we can observe 3 kinds of indexes: Returns on total assets, Return on equity
and the net profit margin. For example, the ratio of profitability (net profit margin) calculated
as net income divided by revenues. It measures how much out of every dollar of sales a
company actually keeps in earnings. A higher profit margin indicates a more profitable
company that has better control over its cost compared to its competitors. In this case, the
profitability of VTO is much smaller than its industry ratio, indicating the relatively low profit
generated from its assets or its equities, or more generally, the efficiency of the firm regarding
to using its assets and managing operations is quite low.
5. Market value ratio
Not quite good. This means that the market has not estimate VTO as a optimum investing
stock because in overall, PE, PB and EPS are all smaller than industry ratios.
Dupont Analysis
In choosing what assets to include in a portfolio, more often than not an in-depth
analysis of the investment alternatives is made. If one of the alternatives is an ownership
share in a corporation, then it is likely that the DuPont ratio will be one of the tools used to
analyze that investment.

Profit margin indicates how efficient the company’s management is in operating the
company and in controlling costs. In 2010, Profit margin of VTO was 0.0615, indicating that
in an accounting sense, VTO generated 6.15% in profit for every VND in sales. Total Asset
turnover, on the other hand, measures the efficiency of the company in generating sales for
every VND of asset. For example, the Total asset turnover in 2010 was 0.4409. In other
words, for every 1000 VND in assets, VTO generated 440.9 VND in sales. Lastly, the equity
multiplier shows how leveraged a company is by computing how much financing
stockholders provided for every VND of asset.

It can be clearly seen that during the period between 2008 and 2010, the Return on Equity
ratio had slightly decreased from 0.0462 in 2008 to 0.0437 in the next year, before
experiencing a dramatic increase to 0.0806 in 2010 because of the improvement in profit
margin and total asset turnover indexes.
RISK
During the period 2008-2010, the company has faced some risky situations.
Due to the gallop inflation as well as an extreme appreciation of foreign currency in term of
domestic currency (USD/VND), especially an increase in petroleum price raising input costs
and a steadiness of freight rate, the efficiency in business has been decreased throughout the
period. Moreover, the petroleum marine transportation has gradually become more
competitive as other rival companies have purchased more vessels opposed to decline in
transporting demand (because almost all of petroleum intermediaries did not buy when the
gasoline price has rocketed worldwide).
Looking at the liquidity ratio and financial leverage, it can be concluded that Vitaco do not
have the healthy ratio compared to the industry average ratio. Low current and quick ratio
(both were smaller than 100%) compared to other companies in transporting sector, the
liquidity of VITACO was considered as unsafe, which resulted in the negative net working
capital. With quite large total assets (over 3000 billion VND), VITACO has not fully taken
advantages of its strengths, resulting in low net profit and relatively little cash.
Furthermore, we also see a relatively low profitability compared to other companies in the
same industry. However, it is clear that the business performance of Vitaco could bring
optimism to the investors
BUSINESS PERFORMANCE
Revenue from first to the fourth quarter of 2010 stood at over 1350 billions VND, increased
by 16.06% compared to 2009 level. Also, the net profit after tax reached over 83 billions
VND, increased by 142.31% compared to 2009 (just 34 billions). The dramatic rise of profit
in 2010 is attributed to profits from operating activities as well as other activities.
In addition, both ROA and ROE of VITACO have mainly increased over time in comparison
with the decrease in marine transportation sectors, in overall. At first, ROA slightly decreased
from 1.05% in 2008 to 1.04% (because of the effect of world financial crisis), then suddenly
soared to 2.71% in 2010. ROE also went down firstly from 4.62% in 2008 to 4.37% in 2009,
and then stood at 8.06% in the previous year. These figures show that the use of assets and
capital of the company has mostly increased over year.
As improve the financial situation, the board of director has proposed the suitable future
orientation for the development of Vitaco.
FUTURE ORIENTATION
- The company will focus on its core business: Petroleum marine transportation,
including oceangoing and adapt the coastal shipping for new competitive environment.
- Further development into external markets for improving management skills of
international fleets.
- To satisfy company’s development demand, a continuous investment and
modernization the fleets, improving and training manager staffs as well as sailors will
be implemented.
